These General Conditions of Sale govern all purchasing relationships between BASE PIZZA SRL (hereinafter referred to as “the Company”) and its professional Customers carrying out the activity of selling and/or supplying food products.

These General Conditions of Sale are deemed to be known by Customers, pursuant to and for the purposes of Article 1335 of the Italian Civil Code, with publication on the website www.basepizzaitalia.com. The General Conditions of Sale will have an indefinite duration; changes and/or variations to the same made by Base Pizza and made known to Customers on the website www.basepizzaitalia.com or resulting from an express contractual agreement agreed in writing between the parties are reserved. The nullity, voidability or ineffectiveness of one or more articles contained in the general conditions of sale will not entail the ineffectiveness or invalidity of the remaining clauses which, therefore, will remain in force.

These general conditions apply to online sales relationships in B2B relationships of food products such as pizza/focaccia/pinsa/puccia bases. The Customer declares to be a natural or legal person who intends the aforementioned goods for subsequent marketing and not for final consumption.

The Customer is invited to carefully read the General Conditions of Sale, to print or to keep, according to the preferred methods, these General Conditions of Sale. In the event of changes to the General Conditions of Sale, the General Conditions published on the Site at the time the order is sent by the Customer will apply to the order.

Order and acceptance:

By electronically sending the purchase order, the Customer unconditionally accepts and undertakes to observe the general and payment conditions described below in his/her relations with Base Pizza Srl, declaring that he/she has read and accepted all the indications provided to him/her, also acknowledging that Base Pizza Srl itself does not consider itself bound to different conditions unless previously agreed in writing. Purchase orders must have a value of no less than €150.00. Purchase orders for lower values ​​will not be accepted. The purchase order sent by the customer must be completed in its entirety and must contain the necessary elements for the identification of the Customer: name, registered office, VAT number, e-mail as well as the indication of the place of delivery. Any changes to the identification data of the Customer must be promptly communicated by the latter to Base Pizza Srl for the maintenance of the data in the registry. Base Pizza Srl will send the Customer, via e-mail, a confirmation of receipt of the order and payment for the supply. Incomplete, inaccurate and/or anomalous supply orders and/or orders for which the full value of the purchase order has not been paid will not be processed.

Product description and availability:

Each product is described in detail in the PRODUCTS sheet. The sheet for each product contains: the ingredients used, storage methods, shelf life, allergen note and any other notes. By sending the order, the customer expressly declares that he/she has carefully read all the above instructions, thereby expressly releasing Base Pizza Srl from any possible incompatibility of his/her own or of third parties to whom the product was administered from any incompatibility with the ingredients. The batch and the relative expiry date are marked on the product envelope/carton. Each product package contains the ingredients used, storage methods, shelf life, allergen note and any other notes. Base Pizza Srl will not be in any way responsible for the temporary or permanent unavailability of one or more products. In the event of unavailability of the requested products, Base Pizza Srl undertakes to promptly inform the Customer by proposing an alternative product or the reduction of the amount of the unavailable amount with deferral to a subsequent order.

Responsibility:

Base Pizza Srl guarantees compliance with the cold chain and in general with the quality standards relating to the products up to the moment of delivery to the place indicated in the order. For this purpose, the delivery note or receipt without annotations or disputes will be valid.

Applicable law and competent court:

This contract is governed by Italian law. Any and all disputes that may arise in relation to the application, interpretation of this contract stipulated online through the site, are subject to Italian jurisdiction in accordance with current legislation. The jurisdiction falls to the Court of Bari.
